1. Acceptance of Terms

By accessing or using NetDay ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

We reserve the right to update, change, or replace any part of these Terms at any time. It is your responsibility to check this page periodically for changes. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

2. Description of the Service

NetDay is a financial analytics tool that helps founders understand daily net cash movement by aligning Stripe cash activity (charges, refunds, payouts) with advertising spend data from various platforms. The Service aggregates and visualizes financial data from third-party sources to provide insights into cash flow patterns.

Important limitations:

  • NetDay is NOT accounting software
  • NetDay does NOT provide financial, legal, or tax advice
  • NetDay does NOT move money, initiate payments, or control user funds
  • NetDay only reads data via read-only API connections to third-party services
  • NetDay does not guarantee the accuracy of third-party data sources

3. Eligibility and Accounts

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Third-Party Integrations

The Service integrates with third-party platforms including but not limited to Stripe, Meta (Facebook), Google Ads, TikTok Ads, and other advertising platforms. These integrations are read-only and allow NetDay to access your financial and advertising data for the purpose of providing analytics.

By connecting your accounts to NetDay, you:

  • Authorize NetDay to access your data via read-only API connections
  • Grant NetDay permission to retrieve, process, and display your data within the Service
  • Understand that NetDay cannot modify, move, or control funds in your connected accounts
  • Acknowledge that your use of third-party services is subject to their respective terms of service

You may disconnect any third-party integration at any time through your account settings. Disconnecting an integration will stop NetDay from accessing new data from that service, but historical data already retrieved may remain in your account.

NetDay is not responsible for the availability, accuracy, or reliability of data provided by third-party services. Any issues with third-party integrations should be directed to the respective service provider.

5. Data Accuracy and Limitations

While we strive to provide accurate and timely information, NetDay does not guarantee the accuracy, completeness, or timeliness of any data displayed in the Service. The data presented is based on information retrieved from third-party sources and may contain errors, delays, or omissions.

Data accuracy depends on:

  • The accuracy and completeness of data provided by third-party services
  • The timing and frequency of API updates from third-party services
  • The proper configuration and maintenance of your account connections
  • Technical limitations and potential API errors or outages

You acknowledge that financial decisions should not be made solely on the basis of information provided by NetDay. Always verify critical information with your accounting system, financial advisors, or directly with third-party service providers.

6. No Financial or Accounting Advice

NetDay does not provide financial, legal, accounting, or tax advice. The Service is an analytics tool that presents data for informational purposes only. The information provided by NetDay should not be construed as:

  • Financial advice or recommendations
  • Accounting guidance or bookkeeping services
  • Legal or tax advice
  • Investment recommendations
  • Business strategy or operational guidance

You should consult with qualified professionals (such as accountants, financial advisors, or attorneys) for advice specific to your situation. NetDay is not a substitute for professional financial, legal, or tax advice.

Any actions you take based on information from NetDay are solely your responsibility. NetDay shall not be liable for any decisions made or actions taken based on the information provided by the Service.

7. User Responsibilities

You are responsible for:

  • Maintaining the security and confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that your use of the Service complies with all applicable laws and regulations
  • Verifying the accuracy of data displayed in the Service before making any decisions
  • Maintaining appropriate backups of your data
  • Using the Service only for lawful purposes
  • Not sharing your account with unauthorized users

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit any harmful, malicious, or illegal content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without authorization

8. Subscription, Trials, Billing, and Refunds

Free Trial: NetDay may offer a free trial period. During the trial, you have full access to the Service. A payment method is required to start a trial; you will not be charged until the trial ends. At the end of the trial period, you will be charged for your chosen plan unless you cancel before the trial ends.

Subscriptions: The Service is offered on a subscription basis. By subscribing, you agree to pay the fees associated with your chosen plan. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

Billing: You authorize us to charge your payment method for all fees associated with your subscription. Fees are non-refundable except as required by law or as explicitly stated in these Terms. If payment fails, we may suspend or terminate your access to the Service.

Price Changes: We reserve the right to modify subscription fees at any time. We will provide at least 30 days' notice of any price changes. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the period you have already paid for.

Refunds: Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion or as required by applicable law. If you believe you are entitled to a refund, please contact us.

9. Intellectual Property

The Service, including its original content, features, functionality, design, and software, is owned by NetDay and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes in accordance with these Terms. This license does not include the right to:

  • Reproduce, distribute, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove any copyright, trademark, or other proprietary notices
  • Use the Service for any commercial purpose not expressly permitted

You retain ownership of any data you provide to the Service. By using the Service, you grant NetDay a license to use, process, and display your data solely for the purpose of providing the Service to you.

10. Prohibited Use

You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate NetDay, a NetDay employee, another user, or any other person or entity
  • In any manner that could disable, overburden, damage, or impair the Service
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • To attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks connected to the Service
  • To use any robot, spider, or other automatic device to access the Service for any purpose
  • To introduce any viruses, trojan horses, worms, logic bombs, or other harmful material

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including but not limited to:

  • Breach of these Terms
  • Non-payment of subscription fees
  • Fraudulent, illegal, or harmful activity
  • Violation of applicable laws or regulations
  • At our sole discretion, with or without cause

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and data, subject to our data retention policies
  • All provisions of these Terms that by their nature should survive termination will survive

We are not obligated to provide any refund or compensation upon termination, except as required by law.

12. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

To the maximum extent permitted by applicable law, NetDay and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or business opportunities
  • Errors or inaccuracies in data displayed by the Service
  • Interruptions or cessation of the Service
  • Decisions made based on information provided by the Service
  • Issues with third-party integrations or data sources

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless NetDay and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including without limitation any intellectual property right or privacy right
  • Any decisions or actions you take based on information provided by the Service
  • Your use of data obtained through the Service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will assist and cooperate with us in asserting any available defenses.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the federal and state courts located in the United States.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date at the top of this page
  • Sending an email notification to the address associated with your account (for material changes)

Material changes will become effective thirty (30) days after they are posted, unless we specify a different effective date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the changes take effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and NetDay concerning the Service. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
